How the interests of corporations and governments differ concerning foreign takeovers?

Hello could anybody please explain to me how the interests of corporations and governments differ concerning foreign takeovers? And I also was wondering if there any interest groups besides NDP and unions advocating tightening of the investment regulation? I would greatly appreciate if you could clarify these questions to me.
